Non-Profit Paralegal - Location Flexible

The Corporate Paralegal is independently responsible for: 1) charitable solicitation licensing; 2) business and lobbyist registrations and reporting; and 3) trademarks filing and registrations. Additionally, this position is responsible for producing, coordinating and managing organization official corporate documents such as corporate resolutions and board meeting minutes, as well as keeping and maintaining the integrity of official corporate records to ensure that transactions and activities are legally sounds and consistent with TPL’s mission, authority, policy and procedures. Finally, the position is responsible for legal department intake as well as managing the legal department’s intranet content.

This position reports directly to TPL’s General Counsel and the position can be located in any TPL office.

 
  1. Charitable Registrations (20%): manage and direct outside counsel regarding the timely filing of charitable solicitation licenses in various states for TPL and its 501(c)(4) affiliate, The Trust for Public Land Action Fund. Assist staff with specific charitable registration questions. Receive, approve and process related invoices for payment.       
  2. Business Registrations (15%): manage and direct outside counsel regarding the timely filing of business license registrations in various states for TPL and TPLAF. Work closely with finance department on state business registrations. Receive, approve and submit related invoices for payment.
  3. Lobbying Registrations and Reporting (15%): monitor and file cyclical (monthly, bi-monthly, quarterly, annual) lobbyist registrations and disclosure reporting on behalf of TPL and TPLAF.
  4. Trademark Registration (10%): manage and direct outside counsel in the registration of current and prospective trademarks. Maintain updated trademark list and serve as primary trademark contact for staff questions and organizational issues.
  5. Corporate Secretary (20%) draft, produce, and attest to, by signature and official corporate seal, official corporate documents such as resolutions and board meeting minutes. Keep and maintain the integrity of official corporate records, as required by law.
  6. Legal Services/Client Services (10%): Field questions and requests from non-legal staff regarding internal processes, policies and legal services.
  7. Canopy/Legal Knowledge Management (5%): Manage and create legal department content for organizational intranet. Legal onboarding and orientation of new employees.
  8. Research and Implementation (5%): As needed and requested, perform research and present conclusions to stakeholders regarding corporate policies and processes.


Qualifications:
 
    • Minimum 3-5 years experience in an equivalent position. Non-profit experience a plus.
    • Experience in relevant registration systems and processes required.
    • Strong attention to detail and excellent organizational skills.
    • Ability to prioritize, time manage and multi-task with limited supervision and under time pressure;
    • Ability to use good judgment, take initiative, and make recommendations to solve problems. Self-starter with a can-do attitude and a team player;
    • Ability to establish professional relations with other departments and various outside agencies.
    • Strong data entry and computer skills, including proficiency with the Microsoft Office Suite and relational databases.
    • Excellent written and verbal communication skills;
    • Dependability, flexibility and professional demeanor.

As a full-time non-exempt employee, you will be eligible for The Trust for Public Land’s comprehensive benefits program which includes medical, dental, and vision insurance, three weeks of vacation annually plus ten holidays, and a 403(b) retirement plan, currently with an up to 5.5% company match. We anticipate a salary offer between $70-85,000 per year annualized for the successful candidate. Salary offers are informed by internal and external salary equity considerations.
